§ 2 OMNIRES Design Community – General Provisions
- These Rules set out the terms and conditions for joining and participating in the OMNIRES Design Community, using the Account and OMNIRESARCH, and accessing selected features and benefits made available to Members, including the generation of Customer Codes and the calculation and settlement of the Project Commission.
- The OMNIRES Design Community is an initiative for practising architects and interior architects. Its aim is to create a space for exchanging knowledge, experience and perspectives, discovering new solutions, developing professional relationships and fostering closer engagement between Members and the world of OMNIRES, including its collections, materials, know-how, team, events and creative projects.
- Participation in the OMNIRES Design Community is voluntary and free of charge.
- As part of the OMNIRES Design Community, OMNIRES may, in particular, organise or offer Members events, workshops, meetings, discussions, editorial initiatives, educational activities, consultations, creative or product-related collaboration, and other forms of cooperation. The availability, scope and participation conditions of such initiatives may be determined separately by OMNIRES on a case-by-case basis and do not constitute a guaranteed benefit to which every Member is entitled.
- Access to features reserved for Members requires an Account and successful verification of the Architect by OMNIRES.
- Membership in the OMNIRES Design Community does not guarantee any specific number of Projects or Orders, invitations to OMNIRES initiatives, or any particular amount of the Project Commission.
- Membership does not establish an employment relationship, agency relationship, service agreement or corporate relationship between OMNIRES and the Member. The Member acts in their own name and on their own behalf and is not authorised to represent OMNIRES or make declarations of intent on behalf of OMNIRES. This does not preclude the Member from providing OMNIRES with the services specified in these Rules, for which a Project Commission may be payable.
- The Member is required to use the OMNIRES Design Community, the Account and OMNIRESARCH for their intended purposes, in accordance with these Rules and applicable laws.
§ 3 Registration and Membership
- An Architect wishing to join the OMNIRES Design Community must:
a) create an Account or have an active Account;
b) provide the information required during the registration process;
c) declare whether, under the applicable laws, professional practice rules, regulations of the relevant professional organisation and any contractual obligations, the Architect is entitled to receive the Project Commission;
d) accept the Rules by ticking the relevant checkbox;
e) read the Privacy Policy and provide the data required to carry out the verification process;
f) submit a current certificate of tax residence confirming tax residence in Germany, or a copy of such certificate, via the OMNIRESARCH platform;
g) declare that they are not using the SME Scheme in Poland. - Membership requires the Architect to conduct an active business activity consistent with the nature of the OMNIRES Design Community.
- OMNIRES shall carry out a verification process. Verification may be based, in particular, on data contained in publicly accessible registers, including CEIDG, KRS or other relevant registers, particularly with regard to the nature of the business activity carried out and the PKD codes.
- OMNIRES may request that the Architect provide additional information or documents necessary to carry out the verification process.
- Registration and acceptance of the Rules alone do not constitute admission to the OMNIRES Design Community. Membership requires successful verification and approval by OMNIRES.
- If the Architect fails the verification process, OMNIRES shall deactivate access to the OMNIRESARCH features.
- Verification of the Architect may be unsuccessful, in particular, where the Architect does not conduct an active business activity, it is not possible to confirm that the activity is consistent with the nature of the Community, false or outdated information has been provided, or other conditions set out in these Rules have not been met.
- OMNIRES may re-verify a Member's status at any time. The Member is obliged to inform OMNIRES without delay if they cease to have entrepreneur status or if their business activity is suspended or terminated.
§ 4 OMNIRESARCH
- Membership in the OMNIRES Design Community grants access to OMNIRESARCH – a professional online area designed to facilitate the day-to-day cooperation between architects and OMNIRES.
- Depending on the features currently available, OMNIRESARCH may, in particular, enable Members to: register and manage Projects; prepare quotations for Customers; generate personalised Customer Codes; track Projects and purchases associated with the Account; receive individual support from the OMNIRES team; access Product information and specifications; download professional materials and 3D files; and access information on calculated and settled Project Commissions.
- OMNIRES may develop, modify or temporarily restrict individual OMNIRESARCH features where justified by technical or security reasons, changes to its offering or changes in the manner in which services are provided, while respecting the rights already acquired by Members.
- The use of certain OMNIRESARCH features may be subject to additional conditions specified in these Rules or in the information displayed in OMNIRESARCH.
§ 5 Project Registration and Customer Codes
- Following successful verification, the Member may register Projects in OMNIRESARCH and generate Customer Codes for Projects that meet the conditions specified by OMNIRES.
- A Customer Code may be used within 180 days of its generation. After this period, the Customer Code expires. Once a purchase has been made using the Customer Code, the code expires and may not be used again.
- The Member may provide the Customer Code exclusively to their Customer in connection with a specific Project.
- A Customer who enters a valid Customer Code when placing an Order shall receive a discount of 15% of the Product Value.
- The above discount does not apply to delivery costs, other additional charges or the purchase of spare parts.
- The Member may not sell the Customer Code or provide it in exchange for additional remuneration.
- The Member is not entitled to use their own Customer Code for their own purchases.
- The Customer Code may not be used in a manner that artificially increases the number of Orders or the amount of the Project Commission.
- The Member may distribute Customer Codes exclusively directly and individually to their Customers. In particular, it is prohibited to publish codes on publicly accessible services, websites aggregating discount codes or forums, to distribute them through mass communications, or to use them in paid advertising campaigns targeting the OMNIRES brand or brands.
- Unless the terms of a specific promotion provide otherwise, the Customer Code cannot be combined with other discount codes, discounts or promotions.
- OMNIRES may invalidate a Customer Code, suspend the generation of new codes or restrict access to the relevant features if the code has been used contrary to these Rules or if misuse is detected.
§ 6 Principles for Calculating the Project Commission
- For an order placed by a Customer using a valid Customer Code, the Member shall be entitled to a Project Commission amounting to 10% of the value of the products.
- Members who belong to a competent chamber of architects or are subject to professional codes of ethics under public law that prohibit the acceptance of financial benefits from manufacturers, and who have not submitted the declaration referred to in § 3(1)(c), shall not be entitled to a Project Commission.
- The Project Commission constitutes remuneration for marketing and promotional services actually provided by the Member in relation to the products, in particular for presenting OMNIRES products or product concepts to the Customer in connection with a specific project. The amount of the Project Commission shall be determined on the basis of the value of the products included in an order placed by the Customer using the Customer Code provided by the Member.
- The Project Commission shall not be calculated on delivery costs, other additional costs, or products excluded from the Customer Code mechanism.
- The Project Commission shall become payable provided that the order has been duly placed, paid for and fulfilled, and the period for the Customer to withdraw from the contract or return the products under separate OMNIRES terms and conditions or applicable law has expired.
- In the event of a full or partial return of products, withdrawal from the purchase contract, cancellation or non-payment of an order, or an adjustment to its value, no Project Commission shall be due in respect of the products affected by such event.
- If the Project Commission has been displayed in OMNIRESARCH and a circumstance subsequently arises as a result of which the commission is not due, in whole or in part, OMNIRES shall be entitled to make a corresponding adjustment.
- Information on the calculated Project Commission shall be available via OMNIRESARCH.
- The Member shall be responsible for verifying the accuracy of the calculated Project Commission. Any objections or complaints concerning a missing or incorrect calculation may be submitted within 30 days from the date on which the Customer places the order. Upon expiry of this period, the data displayed in OMNIRESARCH shall be deemed to have been accepted by the Member.
§ 7 Settlement of the Project Commission
- OMNIRES shall, within 30 days from the date of fulfilment of an Order placed using the Customer Code and after the conditions for calculating and settling the Project Commission set out in § 6 of the Rules have been met, send the Member, via OMNIRESARCH, a confirmation of the provision of the services in the form of a notification.
- The date on which OMNIRES sends the Member confirmation of the provision of the service shall be deemed the date of performance of the marketing and promotional services and the presentation of product concepts referred to in § 6(3) of the Rules. The confirmation referred to in paragraph 1, sent by OMNIRES, shall constitute confirmation that the conditions for settling the marketing and promotional services set out in § 6(3) of the Rules have been met.
- The right to settle the Project Commission arises once the conditions set out in § 6 of the Rules have been met and OMNIRES has sent the Member, via OMNIRESARCH, the confirmation of the provision of the services referred to in paragraph 1. This confirmation constitutes the basis for the Member to issue an invoice, on the basis of which the Project Commission shall be settled in accordance with the principles set out in this section.
- The Member is required to issue an invoice for the services provided and upload it to OMNIRESARCH no later than the 5th day of the month following the month in which the Member received the confirmation of the provision of the service referred to in paragraph 1 of the Rules. Uploading the invoice to OMNIRESARCH within the above deadline shall be deemed effective delivery to OMNIRES.
- The basis for issuing an invoice by the Member is the provision of marketing and promotional services and the presentation of product concepts to OMNIRES, the performance of which has been confirmed by OMNIRES in the manner specified in paragraph 1.
- The right to settle the calculated Project Commission expires at the end of the calendar year following the year in which the Order was fulfilled. After this deadline, the Member loses the right to settle the Project Commission relating to the relevant Order.
- The invoice must contain the correct details of the Member and OMNIRES, a description of the service agreed with OMNIRES for the purpose of settling the Project Commission, e.g. “marketing service”, cost centre code (MPK) 6510, the amount of the Project Commission and all other information required by law.
- The invoice must be issued as an electronic invoice (E-Rechnung) in accordance with the requirements of German tax law and the EN 16931 standard. Due to the cross-border nature of the transaction (B2B), the Member shall issue the invoice for the net amount, exclusive of VAT, with the mandatory reverse charge statement: “Steuerschuldnerschaft des Leistungsempfängers (Reverse Charge)”.
- The payment term for a correctly issued and effectively delivered invoice is 15 days from the date of its proper delivery to OMNIRES, unless OMNIRES decides otherwise.
- In the event of errors or missing information preventing the correct booking or settlement of the invoice, OMNIRES may request that the invoice be corrected or reissued. In such cases, the payment term shall commence on the date the correct document is delivered.
- Information regarding settled and unsettled Project Commissions is available in OMNIRESARCH.
- The Member is responsible for correctly reporting and settling the tax on the Project Commission received, in accordance with applicable laws.
§ 8 Member Obligations and Rules of Use
- The Member is in particular obliged to:
a. comply with these Rules;
b. provide only truthful and up-to-date information and update it without delay;

i. inform OMNIRES of any change in the Member’s details that may affect their tax residence, the place of taxation of the remuneration or OMNIRES’ obligations as the withholding tax agent;
j. inform OMNIRES without delay if the Member begins to use the SME Scheme in Poland. - If the information or documents required under § 8(1)(h)–(i) of the Rules are not provided, OMNIRES shall be entitled to withhold payment of the Project Commission until they are received or to deduct withholding tax from the remuneration payable in the amount provided for by applicable laws.
- The Member is not authorised to make statements on behalf of OMNIRES regarding Products, prices, availability, sales terms or any other matters, unless separately authorised to do so.
- Membership in the OMNIRES Design Community does not include the granting of any power of attorney or authorisation to represent OMNIRES.
- The Member may not create websites, domains, social media profiles or advertising materials whose name, appearance or content could give the impression that they are official OMNIRES channels or that the Member is affiliated with OMNIRES in terms of ownership or organisation.
§ 9 Misuse
1. Misuse shall include, in particular::
- using the Customer Code for the Member’s own purchases;
- providing false information;
- artificially generating Orders or Project Commissions;
- using OMNIRESARCH or the Community features for purposes other than those intended;

4. OMNIRES shall be entitled to set off the amount of any Project Commission paid out incorrectly against the Member’s current or future claims, to the extent permitted by applicable laws.
§ 10 Withdrawal and Termination of Membership
1. The Member may withdraw from the OMNIRES Design Community at any time by submitting a declaration through their Account or electronically to OMNIRES’ email address, with immediate effect.
2. Withdrawal shall not affect the possibility of settling a duly calculated Project Commission that meets the conditions set out in these Rules, subject to the deadline specified in § 7.
3. OMNIRES may terminate the membership with immediate effect if the Member loses their entrepreneur status, suspends or terminates their business activity, no longer meets the membership requirements, breaches these Rules, is found to have engaged in misuse, or has provided false information.
4. OMNIRES may also terminate the membership without stating a reason, subject to 30 days’ notice, and notify the Member electronically.
5. Upon termination of the membership, OMNIRES shall deactivate Customer Codes generated by the Member that have not been used and may disable access to OMNIRESARCH features reserved exclusively for Members.
6. Termination of the membership shall not affect Orders placed before the termination, subject to the rules governing the calculation and settlement of the Project Commission.
§ 11 Personal Data Protection
1. The controller of the personal data processed in connection with registration and membership in the OMNIRES Design Community and the use of OMNIRESARCH is OMNIRES.

4. If the amendments to the Rules are not accepted, the Member shall no longer be able to use the full range of OMNIRESARCH features (including the generation of new Customer Codes) after the amendments take effect. Continued use of the OMNIRESARCH platform requires electronic acceptance of the new version of the Rules (by clicking the acceptance button when logging in).

3. Upon discontinuation of the Customer Code mechanism, unused Customer Codes may be deactivated.
4. The discontinuation of the OMNIRES Design Community or OMNIRESARCH shall not affect the right to settle the Project Commission for Orders that met the conditions set out in these Rules before the discontinuation date, subject to the deadlines specified in § 7.
